OFFICIAL AWARD RULES



THIS CONTEST IS GOVERNED IN ALL RESPECTS BY THE LAWS OF THE UNITED STATES. NO PURCHASE NECESSARY. VOID WHERE PROHIBITED.

1. DESCRIPTION OF THE CONTEST:
The 2005 DivXNetworks/GreenCine Online Film Festival (the "Contest") is an artistic promotion whereby film-makers are invited to create and submit original feature length narrative or documentary movies. Finalists (each a "Finalist") will be selected by a qualified internal review committee at GreenCine LLC (“GreenCine”); winners will be selected by a panel of judges and in certain cases, by the Internet audience (see Paragraph 4 below).

2. HOW TO ENTER:
To enter, create a Film and complete a Submission Form available at http://filmfestival.greencine.com/gcoff_submission.pdf (the "Submission Form"). ALL ENTRANTS MUST COMPLETE, SIGN AND SEND A SUBMISSION FORM (ONE PER FILM).  

To submit your film:
Send a VHS or DVD copy of your Film for review. Your entry must be in NTSC format.  All submissions must include an entry fee of $20 by check made payable to “GreenCine LLC.”  The fee of $20 covers submission of one (1) film.  GreenCine may at its discretion waive the entry fee for members of its online DVD rental service.
 
Send in your completed and signed Submission Form via regular USPS mail. All Film Entries, including Submission Forms, must be postmarked no later than April 30, 2005, and received by 12:00 P.M. (noon) Pacific Time on May 14, 2005.

Films will not be considered eligible contest entries until a corresponding Submission Form is received by GreenCine (each "Entry" consists of a Film and a completed Submission Form, referred to collectively as "Entries"). All Films (a) must be appropriate for general audiences, and Films containing nudity, excessive swearing, explicit sexual themes, and/or graphic violence may be considered ineligible for consideration as a Finalist, at the sole discretion of GreenCine; (b) must be longer than 40 minutes in length; (c) must be shorter than 180 minutes in length; (c) must be the original work of the person submitting the film; (d) must have been produced after January 1, 2002; and (e) must be cleared of all rights prior to being posted on the GreenCine web site (the "GreenCine Web Site") as set forth in the following paragraph.

By submitting an Entry, you hereby (a) represent that you are the sole author and owner of your Film, your Film is under no restriction, contractual or otherwise, which will prevent GreenCine’s or DivXNetworks, Inc.'s use of the Film or you from meeting your obligations hereunder, and that your Film complies with the other requirements set forth in these Official Rules; (b) agree that the Film shall be free of all liens, encumbrances and claims of third parties; (c) acknowledge and agree that nothing in your Film infringes on any copyrights or trademarks, or violates any person's rights of privacy or publicity and that you have obtained all necessary releases and permissions; (d) grant GreenCine and DivXNetworks, Inc. a limited right to review such Film for the Contest and without additional consideration to the entrant; and (e) agree to comply with these official rules, and Submission Form, and the terms of service on the GreenCine Web Site. Decisions of GreenCine regarding all aspects of the Contest are final and binding in all respects. Films deemed to be illegal or obscene, defamatory or offensive to a general audience (as described above) will be disqualified, in the sole discretion of GreenCine. Films determined to infringe on any intellectual property rights or other rights, will also be disqualified in the sole discretion of GreenCine. All Films should display a copyright notice at the end of the title frame, for your protection. All tangible submission materials become the property of GreenCine and will not be returned. GreenCine assumes no responsibility if, for any reason, your Entry cannot be viewed or is not capable of running as planned pursuant to Paragraph 7. GreenCine is not responsible for any errors in Contest related materials, or lost, late, misdirected, damaged, incomplete, illegible or postage due Entries, whether done online or by mail. You may submit more than one Entry, but you must submit a new Submission Form for each Film, and separately submit each Entry; no Entry may be made by more than one (1) person.

3. ELIGIBILITY:
This Contest is open to natural persons who are 18 years of age or older.  All winners will be required to execute an affidavit swearing to compliance with these eligibility requirements. Employees of GreenCine and DivXNetworks, their respective parents, subsidiaries, affiliates, agencies and assigns, and their immediate family members (spouse and parents, children and siblings, and their spouses) as well as individuals living in the same households of such employees are ineligible. The Contest is subject to all applicable federal, state, local and provincial laws and regulations.

4. SELECTION OF AWARD RECIPIENTS:
Each Entry in compliance with Paragraph 2 (and other terms herein) will first be reviewed by an internal screening committee consisting of GreenCine representatives. These Entries will be screened based upon the following criteria:

(1) a clear grasp of filmmaking as an art form,
(2) quality of storytelling,
(3) originality, and
(4) overall entertainment value.

Entries that are approved by GreenCine for consideration as Finalists will receive further review from GreenCine representatives. Finalists will be selected between January 24, 2005 and June 30, 2005, and, after signing distribution contracts, affidavits of eligibility, liability releases and, where legal, publicity releases, with GreenCine, their Films will be posted on the GrenCine Web Site. The number of Finalists in each category will be based on the number of approved Entries that comply with these Official Rules. All Finalists must sign the limited, non-exclusive distribution contract as presented by GreenCine; the terms are not subject to negotiation. Refusal to sign any of the above listed documents or otherwise satisfy all of the requirements herein will result in disqualification, and a replacement Finalist may be selected at GreenCine’s sole discretion. In addition, clearance of all rights must be documented to GreenCine’s satisfaction sufficient to allow GreenCine to use and distribute your Film. Distribution contracts and other documents pertinent to distribution must be returned signed within the earlier of ten (10) days of notification of selection by GreenCine and 2 P.M. Pacific Time on May 30, 2005.  Finalists who previously entered into distribution contracts with GreenCine (for Films other than those entered for the Contest, which are ineligible) may be required to enter into new distribution contracts and other documents for the Contest. After the distribution contracts and other documents are signed by the Finalists, the Finalists' Films will be posted to the GreenCine Web Site for further judging.

After all Finalists have been selected and Films posted to the GreenCine Web Site, voting and judging will take place on or around, and online voting will be completed by June 20, 2005. Finalists will be judged by a qualified panel of judges based upon the criteria listed above. In addition, online viewers will vote for the Audience Choice Award mentioned in Paragraph 5 below.

The winners will be announced on or around June 20, 2005 and notified by certified or other trackable mail. All decisions of GreenCine and the judges are final.  GreenCine reserves the right for any reason to cancel the awards ceremony; all stated prizes will still be awarded to the extent commercially feasible.

At GreenCine and/or DivXNetworks' discretion, the winning films will be screened at physical venues including but not limited to the Yerba Buena Center located in San Francisco.

(C) GreenCine Film Festival Audience Choice Award (one recipient)

6. CONDITIONS OF PARTICIPATION:
In the event of non-compliance with these Official Rules, Finalists will be disqualified and alternative Finalists selected, at GreenCine’s discretion. By entering, entrants permit GreenCine to use entrants' Films in marketing/advertising materials without limitation. By entering, entrants also agree to the use of their names and/or likenesses for advertising and promotional purposes without additional compensation, unless prohibited by law. By entering, entrants release and hold harmless GreenCine, and their parents, subsidiaries, affiliates, directors, officers, employees and agents from any and all liability or any injuries, loss or damage of any kind arising from or in connection with participation in this Contest or any Contest-related activities, or acceptance, possession, use and/or misuse of any award received herein.

7. INTERNET DISCLAIMER:
GreenCine assumes no responsibility for technical, hardware or software failure of any kind, for lost network connection or for garbled computer transmissions. If for any reason, the program is not capable of running as planned, including infection by computer virus, bugs, tampering, and unauthorized intervention, fraud, technical failures, or any other causes beyond the control of GreenCine which corrupt or affect the administration, security, fairness or integrity of the Contest, GreenCine reserves the right to cancel, terminate, modify or suspend the Contest and distribute awards from among all Entries received prior to action taken by GreenCine. GreenCine assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of Entries. GreenCine is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, computer equipment, software, failure of any e-mail to be received by GreenCine on account of technical problems, human error or traffic congestion on the Internet or any Web site, or any combination thereof, including any injury or damage to the participant's or any other person's computer related to or resulting from participation or downloading any materials in this promotion.

If for any reason your Entry cannot be viewed or is not capable of running as planned, including infection by computer viruses, bugs, tampering, unauthorized intervention, fraud or technical failures, GreenCine assumes no responsibility. Greencine is not responsible for any problems or technical malfunctions.

8. PUBLICATION OF AWARD RECIPIENTS:
After the Contest has been concluded, the names of the Award Recipients will be published on the GreenCine Web Site at http://filmfestival.greencine.com. GreenCine LLC, located at 537 Stevenson Street,  Ste. 200, San Francisco, CA 94103 is the sponsor of the Contest.
